Terms & Conditions
These terms govern your use of rivalending.com. They are written in plain English, and the most important point is near the top: this site is for information and inquiries, and sending us a form is not an application for credit.

This page is published for transparency and is not legal advice. It is a template prepared for Riva Lending's own review and should be reviewed by our counsel before it is relied on. Lending activity is also subject to Connecticut and federal regulation that may require additional disclosures beyond what appears here.
1. Agreement To These Terms
By accessing or using rivalending.com (the "site"), you agree to these Terms & Conditions and to our Privacy Policy, which is incorporated here by reference. If you do not agree, please do not use the site.
If you use the site on behalf of a company, trust, or other entity, you confirm that you have authority to accept these terms on its behalf, and "you" means both you and that entity.
2. Who We Are And What This Site Is
Riva Lending (legal entity: [LEGAL ENTITY NAME], a [ENTITY TYPE] organised under the laws of [STATE OF FORMATION]) is a direct real estate lender and credit fund manager based in Old Saybrook, Connecticut. We originate business-purpose loans secured by non-owner-occupied real estate. We are not a consumer lender, and we do not originate loans on primary residences or second homes.
This site is an informational and inquiry resource. It describes the kinds of financing we offer, publishes general educational material about real estate lending in Connecticut, and gives you ways to start a conversation with us. It is not a loan origination system, an application portal, or an offer of credit.
Interests in the Riva Real Estate Credit Fund are available to accredited investors only and involve risk, including possible loss of principal. Past performance is not indicative of future results. Nothing on this site is an offer to sell or a solicitation of an offer to buy any security; any such offer would be made only through definitive offering documents.
3. What An Inquiry Is — And Is Not
This is the section we most want you to read.
The forms on this site are inquiry forms. Completing one lets us understand what you are trying to do so we can respond with something useful. Submitting a form:
- is not an application for credit;
- is not a commitment by us to lend, and creates no obligation on either side;
- is not an approval, a pre-approval, a pre-qualification, a rate lock, or an offer of terms;
- does not create a lender–borrower relationship, and does not make you a client or a customer; and
- does not trigger a credit check. We do not pull credit to give you a number.
Any financing we ultimately provide is subject to our full underwriting, satisfactory documentation, valuation, title and closing requirements, and final credit approval, and is governed exclusively by the signed loan documents — not by anything on this site or in any pre-closing correspondence.
4. Eligibility And Permitted Use
You may use this site only if you are at least 18 years old and able to form a binding contract. The site is intended for real estate investors, operators, and allocators, and is directed to users in the United States — primarily the Northeast, which is the region we serve.
You may use the site for your own lawful, personal or internal business purposes: reading what we publish, using the calculators, and contacting us about financing or investing. You may not use it for any other purpose without our written permission.
5. No Professional Advice
Everything on this site — including the loan program pages, the FAQ, the blog, and any calculator or estimator — is general information. It is not legal, tax, accounting, investment, appraisal, or financial advice, and it is not a substitute for advice from a professional who knows your situation.
Real estate, lending, and tax rules change, and they turn on facts specific to you and to the property. Before you act, consult your own attorney, accountant, and advisers. Do not rely on this site as the sole basis for any decision.
Calculators and estimating tools on the site are illustrations only. They use the inputs you provide and simplifying assumptions, they do not reflect underwriting, and their output is not a quote.
6. Information You Submit
When you send us an inquiry, you agree that the information you provide is accurate and complete to the best of your knowledge, that you have the right to share it, and that you will tell us if it materially changes while we are working with you.
You agree we may verify what you tell us and gather additional information as part of evaluating a potential transaction, in accordance with applicable law and our Privacy Policy.
Do not submit sensitive personal information through the forms on this site. They are not built to collect it, and they are not a secure channel. Please do not include Social Security numbers, bank account or card numbers, or credit report data in a website inquiry. If we need that kind of information later, we will ask for it through a channel that is appropriate for it.
Submitting false or misleading information, or information about someone else without their permission, is a breach of these terms.
7. Rates, Terms And Programs
Any rate, point, fee, leverage, term, timeline, or program parameter described on this site is illustrative and indicative only. It reflects general parameters at the time of writing, may not be current, and is subject to change without notice.
Your actual terms depend on underwriting — the property, the business plan, the sponsor, the collateral position, market conditions, and the final approved structure. Only a written term sheet or the executed loan documents state terms we are bound by.
We try to keep the site accurate, but we do not warrant that it is complete, current, or free of error, and we may change or remove any program or content at any time.
8. How We May Contact You
When you submit an inquiry form, call us, or email us, you are asking us to get back to you. You consent to us contacting you about that inquiry by telephone, email, and — if you gave us a mobile number — text message (SMS), at the contact details you provided, including by automated means where permitted by law.
This consent covers messages about your inquiry and about the financing or investment you asked about. It is not a condition of obtaining credit or of any other service from us.
Opting out:
- Text messages — reply STOP to any message to stop them, or HELP for help. Message frequency varies. Message and data rates may apply, and your mobile carrier's charges are your responsibility.
- Email — use the unsubscribe link in any marketing email, or email us at info@rivalending.com and ask.
- Phone — tell us on any call, or write to us, and we will stop calling.
Even after you opt out of marketing, we may still send you messages we need to send about an active transaction or that the law requires.
Email and text are not secure. Please do not send us account numbers or other sensitive details that way.
9. Third Parties And Links
This site links to third-party websites — for example, Connecticut state resources cited in our articles. Those links are provided for convenience and information only. We do not control those sites, we do not endorse them, and we are not responsible for their content, their accuracy, their terms, or how they handle your information. Visiting them is at your own risk and under their terms.
We also use third-party services to run this site, including Google Analytics and Google Fonts. Their handling of information is described in our Privacy Policy and governed by their own terms.
Where a transaction involves other parties — lending partners, investors, appraisers, title companies, closing attorneys, insurers, or servicers — those parties act under their own agreements and their own professional obligations. Naming or working with them is not our endorsement of them, and we are not responsible for their acts or omissions.
10. Intellectual Property
The site and everything in it — text, articles, page design, layout, graphics, illustrations, photographs, and the compilation of it all — is owned by Riva Lending or its licensors and is protected by copyright and other laws. "Riva Lending", the Riva Lending wordmark, and the Riva logo are our marks. Other names and marks on the site belong to their respective owners.
You may view the site, and print or download a copy of a page for your own non-commercial reference, keeping any notices intact. You may quote a short passage with attribution and a link. Everything else — copying, republishing, distributing, adapting, framing, or using our content or marks commercially — needs our prior written permission.
11. Prohibited Conduct
You agree not to:
- scrape, crawl, harvest, spider, or use any automated means to extract data from the site, except a search engine obeying our
robots.txt; - reverse engineer, decompile, or attempt to derive the source of any part of the site;
- submit false, misleading, fraudulent, or impersonating information through any form, or submit someone else's information without their permission;
- use the forms to send spam, chain messages, or bulk unsolicited material;
- attempt to gain unauthorised access to the site, its servers, or any connected system, or probe or test its security;
- introduce malware, or take any action that imposes an unreasonable load on our infrastructure or interferes with the site's operation;
- use the site to violate any law, or to infringe anyone's rights; or
- remove, obscure, or alter any proprietary notice.
12. Your Submissions And Feedback
If you send us feedback, suggestions, or ideas about the site or our business, you grant us a non-exclusive, worldwide, royalty-free, perpetual, irrevocable licence to use them for any purpose without obligation or compensation to you. Please do not send us anything you consider confidential or proprietary as unsolicited feedback.
Information you submit in a loan or investment inquiry is not "feedback". It is handled as described in our Privacy Policy.
13. Disclaimer Of Warranties
The site is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
We do not warrant that the site will be uninterrupted, timely, secure, or error-free; that defects will be corrected; that the site is free of harmful components; or that any content, calculator output, or estimate is accurate, complete, current, or suitable for your purpose.
Some jurisdictions do not allow the exclusion of certain warranties, so parts of this section may not apply to you.
14. Limitation Of Liability
To the fullest extent permitted by law, neither Riva Lending nor its owners, officers, employees, agents, or affiliates will be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost business, lost opportunity, lost data, or loss of goodwill, arising out of or relating to your use of — or inability to use — this site, whatever the theory of liability and even if we were advised such damages were possible.
To the fullest extent permitted by law, our total aggregate liability arising out of or relating to the site will not exceed one hundred U.S. dollars (US$100).
These limits do not apply to liability that cannot be excluded or limited under applicable law, and they do not affect the terms of any signed loan or investment agreement between us, which stands on its own. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
15. Indemnification
You agree to indemnify, defend, and hold harmless Riva Lending and its owners, officers, employees, agents, and affiliates from any claim, demand, loss, liability, damage, cost, or expense (including reasonable legal fees) arising out of or relating to your use of the site, your breach of these terms, information you submit through the site, or your violation of any law or of anyone's rights.
16. Fair Lending And Equal Opportunity
Riva Lending does not discriminate on any basis prohibited by applicable law. We do not discriminate against any applicant or prospective borrower on the basis of race, color, religion, national origin, sex, marital status, familial status, age (provided the applicant has the capacity to contract), disability, sexual orientation, gender identity or expression, ancestry, veteran or military status, lawful source of income, or because all or part of an applicant's income derives from a public assistance program, or because an applicant has in good faith exercised a right under the Consumer Credit Protection Act.
We credit-decision on the merits of the transaction: the property, the business plan, the collateral position, and the sponsor's experience and capacity.

17. Accessibility
We want this site to work for everyone, and we build it with accessibility in mind — semantic structure, keyboard operability, visible focus, text alternatives for images, and readable contrast. We treat the WCAG 2.1 Level AA guidelines as our reference point, and we are continuing to improve.
If you hit a barrier on this site, or you need information here in another format, please tell us. Email info@rivalending.com or call (860) 303-7968 — tell us the page and what happened, and we will work with you to get you the information and to fix the problem.
18. Suspension And Termination
We may change, suspend, restrict, or discontinue the site or any part of it at any time, and we may block access from any person or network that breaches these terms or that we reasonably believe is misusing the site — without notice and without liability.
You may stop using the site at any time. Sections that by their nature should survive — including sections 10, 12, 13, 14, 15, 20 and 21 — survive any termination.
19. Changes To These Terms
We may update these terms as our business, the site, or the law changes. When we do, we will post the revised version on this page and change the "Last updated" date shown at the top.
Changes take effect when posted. Please check back from time to time — your continued use of the site after we post a change means you accept the revised terms. If a change is material, we will make reasonable efforts to flag it more prominently.
20. Governing Law And Venue
These terms, and any dispute arising out of or relating to them or to your use of the site, are governed by the laws of the State of Connecticut, without regard to its conflict-of-laws rules.
You and Riva Lending agree that any such dispute will be brought exclusively in the state or federal courts located in Connecticut, and you consent to the personal jurisdiction of, and venue in, those courts.
These terms do not contain an arbitration clause. This section governs disputes about the site; a signed loan or investment agreement may contain its own governing law and dispute provisions, and those control for matters within their scope.
21. Severability And Entire Agreement
If any provision of these terms is held unenforceable, it will be limited or severed to the minimum extent necessary, and the rest will remain in full force.
Our failure to enforce a provision is not a waiver of it. You may not assign these terms; we may assign them in connection with a merger, acquisition, or sale of assets.
These terms and the Privacy Policy are the entire agreement between you and Riva Lending regarding the site, and supersede any earlier understanding about it. They do not supersede any signed loan or investment agreement between us.
